What GPUVest is, what it isn't, and how each offering is structured.
GPUVest is in pre-launch — nothing here is a live offering yet.
The deals currently shown on the site are illustrative examples of how offerings will be presented. No securities are being offered or sold, no money is being solicited or accepted, and joining the waitlist is a non-binding indication of interest. The sections below describe how offerings will work once live.
How offerings will work
Once live, each deal on GPUVest will be a securities offering: you would commit capital to a specific GPU cluster deployment in exchange for a target return over a fixed term. Investing would involve risk, including possible loss of principal. Target returns are projections, not guarantees, and depend on the underlying deployment's performance and the operating company's ability to meet its obligations.
How these offerings are structured
Every deal on GPUVest will be offered under Regulation D, Rule 506(c) — a single regulatory track. That means:
- Accredited investors only. Offerings are open only to accredited investors (as defined in Rule 501(a) of Regulation D). Every investor must have their accredited status verified before they can fund a commitment. This is a requirement of the exemption, not a self-declaration.
- Verification, not a checkbox. 506(c) requires the issuer to take reasonable steps to verify accredited status (income/net-worth review, a CPA or attorney letter, or a licensed verification service). Accreditation is verified once and applies across deals.
- Exempt from registration. 506(c) is an exemption from SEC registration; offerings are made under that exemption (with the applicable notice filings), not registered as public securities.
What GPUVest is not
GPUVest is not a broker-dealer, investment adviser, or registered funding portal. Identity verification, accreditation verification, payment processing, and e-signature on this platform are provided by third-party providers. Nothing on this site is investment, legal, or tax advice — consult your own advisors before investing.
